We at Lending Spheres and Services Private Limited (“our”, “us”, “we”, “Company”, “Lending Spheres”) have developed the Lending Spheres website – www.lendingspheres.com and – Lending Spheres (“Platform”). This Platform has also been licensed to Lending Spheres Loan Private Limited (referred to as the “Loan Providers”), to utilize and offer their respective loan products and services. We are pleased to extend the Platform to you as a user or visitor (“you”, “your”, “User” and/or “Visitor”).

WHEN YOU AVAIL ANY OF THE SERVICES OR PRODUCTS ON / OR THROUGH THE PLATFORM (“SERVICE/S”), YOU WILL, IN ADDITION TO THESE TERMS OF USE, BE SUBJECT TO THE RULES, GUIDELINES, POLICIES, TERMS, AND CONDITIONS APPLICABLE TO SUCH SERVICE/PRODUCTS, AND THEY SHALL BE DEEMED TO BE INCORPORATED INTO THIS TERMS OF USE AND SHALL BE CONSIDERED AS PART AND PARCEL OF THIS TERMS OF USE.

WE RESERVE THE RIGHT, AT OUR SOLE DISCRETION, TO CHANGE, MODIFY, ADD OR REMOVE PORTIONS OF THESE TERMS OF USE, AT ANY TIME WITHOUT ANY PRIOR WRITTEN NOTICE TO YOU. YOU SHALL ENSURE TO REVIEW THESE TERMS OF USE PERIODICALLY FOR UPDATES/CHANGES. YOUR CONTINUED USE OF THE PLATFORM FOLLOWING THE POSTING OF CHANGES WILL MEAN THAT YOU ACCEPT AND AGREE TO THE REVISIONS.

AS LONG AS YOU COMPLY WITH THESE TERMS OF USE, WE GRANT YOU A PERSONAL, NON-EXCLUSIVE, NON-TRANSFERABLE, LIMITED PRIVILEGE TO USE THE PLATFORM. BY ACCEPTING THESE TERMS OF USE, YOU ALSO ACCEPT AND AGREE TO BE BOUND BY OUR POLICIES INCLUDING BUT NOT LIMITED TO PRIVACY POLICY AS AMENDED FROM TIME TO TIME.

YOU ALSO UNDERSTAND THAT A PART OF THIS PLATFORM IS LICENSED TO LOAN PROVIDERS AND IS OPERATED INDEPENDENTLY BY THE LOAN PROVIDERS. WE ACCEPT NO RESPONSIBILITY FOR THE SERVICES AND/OR LOAN PRODUCTS OFFERED OR SOLICITED BY THE LOAN PROVIDERS/S. WE ARE NOT LIABLE OR RESPONSIBLE FOR ANY LOSSES THAT MAY OCCUR AS A RESULT OF THE ACTS OR OMISSIONS OF THE LOAN PROVIDER.

Acceptance of Terms of Use

a. BY ACCEPTING THE “TERMS OF USE”, YOU PROVIDE YOUR UNCONDITIONAL ELECTRONIC CONSENT TO THIS AGREEMENT UNDER THE INFORMATION TECHNOLOGY ACT 2000.

b. The Platform will be considered in use when it is loaded, loading, or remains loaded in the temporary or permanent memory of your computer, phone, tablet, or any similar device/system, or within the internet browser.

Eligibility

By using this Platform, the User expressly confirms and agrees that they are a natural or legal person who has reached the age of 18 years or older and is legally permitted to enter into a contract in India. If you do not meet these requirements, you are not authorized to use the Service or access the Platform.

Restrictions on Use

a. You understand and acknowledge that we and/or our Loan Providers reserve all the rights to the information, contents, audio, video, logos, and trademarks, including text, images, graphics, videos, and sound contained in this Platform and/or the Services or any product on the Platform (“Material”).

b. You understand and agree that any reproduction, modification, creation of derivative works, distribution, transmission, copying, selling, displaying, publishing, or using any of the information, contents, audio, video, logos, and trademarks contained in this Platform or any Material or part thereof for any purpose whatsoever, whether electronically or otherwise, without our/our Loan Providers' permission is strictly prohibited.

c. We grant you a personal, non-exclusive, non-transferable, limited license to access the Platform and the privilege to avail the Services and make personal non-commercial use of the Platform and/or the Services, including the products or services offered by the Loan Providers under the licensed part of this Platform.

d. You may use and/or download material displayed on this Platform for your personal non-commercial use only, provided you also retain the logos, brand names, and markings pertaining to all trademark, copyright, and other proprietary notices contained in the Materials.

e. You do not have the right to use any of our or the Loan Provider’s trade names, trademarks, service marks, brand names, logos, domain names, and other distinctive brand features. You do not have the right to remove, obscure, or alter any proprietary rights notices (including trademark and copyright notices), which may be affixed to or contained within the Platform/Services or in the Materials of the Loan Provider.

f. You further acknowledge, agree, and affirm that:

ⅰ. You shall not engage in fraudulent, abusive, or illegal activity, including but not limited to any communication or solicitation designed or intended to fraudulently obtain the password or any private information of any other user.

ⅱ. You are prohibited from posting or transmitting any unlawful, threatening, libelous, defamatory, obscene, scandalous, inflammatory, pornographic, illegal, or profane material or any material that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any law.

ⅲ. You shall not copy (whether by printing off onto paper, storing on disk, downloading, or in any other way), distribute (including distributing copies), download, display, perform, reproduce, distribute, modify, edit, alter, enhance, broadcast, or tamper in any way or otherwise use any Materials contained in the Platform. These restrictions apply in relation to all or part of the Materials on the Platform.

Cyber Security

You warrant, represent, and agree that you shall not: a) Participate in any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Platform or us or the Loan Provider’s systems or networks, or any systems or networks connected to the Platform or to us or the Loan Providers.

b) Use any device, software, or routine to interfere or attempt to interfere with the proper working of the Platform or any transaction being conducted on the Platform, or with any other person’s use of the Platform.

c) Attempt to probe, scan, or test the vulnerability of the Platform or any network connected to the Platform, nor breach the security or authentication measures on the Platform or any network connected to the Platform.

d) Attempt to reverse look-up, trace, or seek to trace any information on any other user of or visitor to the Platform.

e) Use any “deep-link,” “page-scrape,” “robot,” “spider” or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy, or monitor any portion of the Platform or any content, or in any way reproduce or circumvent the navigational structure or presentation of the Platform or any content, to obtain or attempt to obtain any materials, documents, or information through any means not purposely made available through the Platform.

f) Attempt to gain unauthorized access to any portion or feature of the Platform, or any other systems or networks connected to the Platform or to any of our or the Loan Providers’ servers, or to any of the services offered on or through the Platform or by the Loan Provider, by hacking, password “mining,” or any other illegitimate means.

g) Attempt to forge headers or otherwise manipulate identifiers in order to disguise the origin of any message or transmittal you send to us or the Loan Provider on or through the Platform or any service offered on or through the Platform. You may not pretend that you are, or that you represent, someone else, or impersonate any other individual or entity.

h) Attempt to use the Platform or any content for any purpose that is unlawful or prohibited by these Terms, or to solicit the performance of any illegal activity or other activity which infringes the rights of the Company or Loan Providers or others.

i) Attempt to knowingly or intentionally penetrate or access our network or systems without authorization or exceeding authorized access; and by means of such conduct carry out an unauthorized transaction or obtain access to information, data, or computer database that is restricted.

j) Attempt to introduce or cause to introduce any computer contaminant and by means of such conduct cause or be likely to cause damage or destruction to our property or disruption of our/the Loan Providers' services.

k) The User shall pursue all necessary steps to ensure that their machines are virus-free while accessing the Platform or any services of the Loan Providers. The User shall refrain from activities like uploading files infected with viruses or malicious scripts/programs or trying to infect us or the Loan Providers' systems with viruses, worms, and/or other malicious codes.

l) Engage in any unethical or immoral practices.

m) The User warrants that the User will not use any software, tool, or code that would hamper or disable all or any portion of the Platform offered by us, or the services/products offered by the Loan Provider.

Indemnity

In consideration of us providing the Platform/Services, you shall, at your own expense, indemnify and hold us and the Loan Providers, including the directors and employees, representatives, agents and/or, as the case may be, indemnified against all losses and expenses on a full indemnity basis which we or our Loan Providers, may incur, sustain, suffer or are likely to suffer in connection with

(i) our, or Loan Provider’s execution of your instructions (through Your Lending Spheres Account or otherwise),

(ii) your breach of any Terms of Use,

(iii) fraud, misconduct, negligence or misrepresentation, and/or

(iv) breach of any applicable laws. The User shall pay, on demand, to us or the Loan Providers, such amount as may be determined by us, and/or the Loan Providers to be sufficient to indemnify it against any such loss or expenses even though they may not have arisen or are contingent in nature.

Disclaimers and Limiation of Liability

a) TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNDER NO CIRCUMSTANCES, INCLUDING BUT NOT LIMITED TO NEGLIGENCE, MISCONDUCT OR DEFAULT, SHALL WE OR THE LOAN PROVIDER, ITS EMPLOYEES AND DIRECTORS, ITS SUPPLIERS AND/OR ITS THIRD PARTY ADVISORS BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING PUNITIVE OR EXEMPLARY (INCLUDING, BUT NOT LIMITED TO, DAMAGES CAUSED BY ANY VIRUS, PERSONAL INJURY, LOSS OF PROFITS, DATA OR OTHER INTANGIBLE, BUSINESS INTERRUPTION, LOSS OF PRIVACY, OR ANY OTHER PECUNIARY LOSS), ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE/DELIVERY/PERFORMANCE OF THIS PLATFORM OR THE SERVICES, WITH THE DELAY OR INABILITY TO USE THIS PLATFORM OR ANY LINKS OR ITEMS ON THE PLATFORM, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THIS PLATFORM, OR OTHERWISE ARISING OUT OF THE USE OF THIS PLATFORM, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, OR RESULTING FROM THE USE OF THIS PLATFORM OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE PLATFORM/SERVICE OR RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

b) WE DO NOT ACCEPT RESPONSIBILITY FOR ANY AMOUNTS TRANSFERRED TO YOUR BANK ACCOUNT OR ANY REMITTANCE TO YOUR ACCOUNT THAT HAS FAILED.

c) WHILE WE HAVE MADE REASONABLE EFFORTS TO INCLUDE ACCURATE AND UP-TO-DATE INFORMATION ON THIS PLATFORM, ERRORS OR OMISSIONS SOMETIMES OCCUR. THE PLATFORM, THE MATERIAL AND ANY CONTENT ON THE PLATFORM IS PROVIDED BY US AND THE LOAN PROVIDERS ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY ANY APPLICABLE LAWS, WE AND THE LOAN PROVIDERS MAKE NO WARRANTIES OR REPRESENTATIONS AS TO THE CORRECTNESS, ACCURACY, COMPLETENESS, ADEQUACY, RELIABILITY, OR OTHERWISE OF THE CONTENT OF THIS PLATFORM, NOR DO WE OR OUR LOAN PROVIDERS ACCEPT ANY LIABILITY ARISING THEREFROM.

d) WE DO NOT REPRESENT OR WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS OR BE UNINTERRUPTED OR ERROR FREE.

e) THE LOAN AGREEMENT FORM(S) A BI-PARTY AGREEMENT BETWEEN YOU AND THE RESPECTIVE LOAN PROVIDER/S. LOAN(S) ARE MARKETED AND/OR DISTRIBUTED SOLELY BY LOAN PROVIDERS AS PER THE REQUIREMENTS OF APPLICABLE LAWS AND ARE NOT IN ANY WAY ASSOCIATED TO US OR THE PAYMENT GATEWAY SERVICE PROVIDER, AND NEITHER WE NOR THE PAYMENT GATEWAY SERVICE PROVIDER SHALL BE LIABLE FOR THE SAME.

f) THE LOAN PROVIDERS ARE REGULATED BY THE RELEVANT AUTHORITIES AND DO NOT OFFER ANY NON-LOAN RELATED PRODUCTS AND/OR SERVICES, AND THE LOAN PROVIDERS ARE NOT RESPONSIBLE OR LIABLE FOR ANY SERVICES OR PRODUCTS OFFERED OR SOLD BY US.

g) NOTHING IN OUR TERMS OF USE AND PRIVACY POLICY WILL PREVENT US OR THE LOAN PROVIDER/S FROM COMPLYING WITH THE APPLICABLE LAWS.

h) IN NO EVENT SHALL OUR OR THE LOAN PROVIDERS’ AGGREGATE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION (WHETHER IN CONTRACT OR TORT, INCLUDING BUT NOT LIMITED TO, NEGLIGENCE) EXCEED INR 1000/-.

i) We and/or the Loan Providers shall not be liable if any transaction does not fructify or may not be completed. We or the Loan Providers will not be held responsible for any delay or failure to comply with our obligations if the delay or failure arises from any cause/s which is beyond our reasonable control or not attributable to us or the Loan Providers or due to your acts or omissions.

j) We and the Loan Providers do not assume any responsibility, and are not liable for, any damages to, or viruses that may infect, your computer equipment or other property as a result of your access to, use of, or browsing in the Platform or your downloading of any materials, data, text, images, video, or audio from the Platform.

k) Please note that there is no guarantee that any email or message sent by you will be received, or that the contents of any such email or message will remain private during internet transmission and that there are inherent risks involved in sending the instructions/communications/documents by electronic means and hereby agree and confirm that all respective risks shall be fully borne by you who assumes full responsibility for the same. In this regard, you will not hold us and the Loan Provider liable, and hereby hold us and the Loan Provider harmless from any demands, actions, liabilities, losses, damages, expenses or claims.

Miscellaneous

If any provision of these Terms of Use is found to be invalid, the remaining provisions will remain in full force and effect. Our failure to exercise any remedy or enforce any part of these Terms of Use at any time shall not be considered a waiver of our right to exercise that remedy or enforce any part of the Terms of Use in the future.
